Terms

The Business Source License (this “License”) is not an Open Source license. However, the Licensed Work will eventually be made available under an Open Source License, as stated in this License.

1. Definitions

“Additional Use Grant” means the additional grant of rights to use the Licensed Work, if any, granted by the Licensor and specified in the Parameters above.

“Change Date” means the date specified in the Parameters when this License will change to the Change License.

“Change License” means the Open Source License specified in the Parameters to which this License will convert on the Change Date.

“Licensed Work” means the software specified in the Parameters, including all versions and updates.

“Licensor” means the individual or entity specified in the Parameters that is granting this License.

“You” (or “Your”) means an individual or a legal entity exercising permissions granted by this License.

2. Grant of Rights

Subject to the terms and conditions of this License, the Licensor hereby grants You a non-exclusive, worldwide, royalty-free, non-transferable license to use, copy, modify, create derivative works of, and distribute the Licensed Work, for any purpose, except as restricted below.

3. Use Limitation

You may not use the Licensed Work for a “Production Use” if such use is in violation of this License. “Production Use” means any use of the Licensed Work to provide a service to third parties, including but not limited to offering the Licensed Work as a hosted or managed service.

The specific limitations on Production Use, if any, are defined by the Licensor and may be further clarified in accompanying documentation.

4. Additional Use Grant

Any additional rights granted beyond those in Section 2 are specified in the Additional Use Grant in the Parameters above.

5. Change Date

On the Change Date, this License will automatically convert to the Change License specified in the Parameters, and the Licensed Work will thereafter be governed by that license.

6. Redistribution

You may redistribute the Licensed Work, provided that You include a copy of this License with any distribution.

7. Disclaimer of Warranty

THE LICENSED WORK IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE LICENSED WORK OR THE USE OR OTHER DEALINGS IN THE LICENSED WORK.

9. Termination

This License will terminate automatically if You violate any of its terms. Upon termination, You must cease all use of the Licensed Work.

10. Governing Law

This License shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
